I have spent twenty-five years inside that machinery. Capgemini. Accenture. Deloitte. ASX 100 transformations, Federal Government programmes, multi-jurisdictional rollouts. I am a licensed CPA, a CIMA-credentialled management accountant, a certified Project Management Professional under PMBoK and PRINCE2, and a trained Scrum Master. Today, through CoSai CFO Services, I bring that machinery to founder-led businesses, at a price point that is structurally impossible inside the big firms.
This proposal sets out how I propose to help you deliver Flip 360. I will serve as your fractional Chief Financial Officer, your Scrum Master and Project Manager, your Transformation Delivery Lead, and your Business Case and Investor Relations partner — a single accountable person across what would, inside a top-five firm, require an Engagement Partner, a Programme Director, a Solution Architect, and a Senior Manager, billing collectively north of $400,000 per annum.
My fee for the equivalent embedded engagement is AUD $5,000 per month, fixed. Payable the first day of each month. No lock-in contract. No exit fee. Cancel at any time. Labour only — pass-through costs (cloud, tooling, third parties) are billed at cost with no margin.
I have also proposed a working partnership with Corrina McGowan and her team at Your Digital Team for the downstream marketing execution — keeping CoSai focused on its sweet spot of strategy, finance, transformation and platform; and YDT focused on theirs.

Marketing, member acquisition and brand are out of scope of this engagement and rightly sit with Your Digital Team.

The engagement begins on the first day of the month following execution of this proposal. The first 90 days are pre-scoped against the Volume 1 and Volume 2 deliverables. Beyond that, scope is set sprint-by-sprint by the Product Owner.

CoSai produces design briefs as a discovery handover only. From the moment Corrina's team accepts the brief, the marketing programme — SEO, web, traffic, ads, awareness, consideration, conversion — is run by YDT directly with Flip 360, with actual-vs-target funnel performance reported to Mathew. CoSai does not insert itself in the marketing day-to-day.
The reason a single principal can deliver a $400,000-equivalent capability for $60,000 per annum is the AI workforce. This section is transparent about how it works, where it does work, and where it does not.
Every CoSai engagement is delivered by Carla — the human — supported by a workforce of Anthropic Claude AI agents. Claude is a frontier large language model family produced by Anthropic, the safety-focused AI lab founded by ex-OpenAI researchers. The agents act as junior associates, research analysts, software engineers, document drafters and quality reviewers — under Carla's direction and accountability.

At AUD $5,000 per month, CoSai is priced below the median Australian bookkeeper ($60–80k) and below a senior office administrator ($75–95k). Yet what is being delivered is a fractional CFO, transformation lead, project manager, scrum master, and solution architect, supported by an AI workforce. The economics are structurally only possible outside the big firms. Inside the big firms, the same scope would be invoiced as a six-figure-per-month engagement.
These terms govern the engagement between CoSai CFO Services ("CoSai") and Flip 360 / Mathew Punter ("Client"). They are written in plain English by deliberate design — both parties should read and understand them in full before signing.
CoSai will provide the services scoped in Section 4 ("Scope of Services") of this proposal. The Client is Mathew Punter, founder of Flip 360, in his personal and corporate capacity.
The engagement begins on the first day of the calendar month following execution of this proposal and continues on a rolling month-to-month basis. Either party may terminate the engagement by giving the other one (1) full calendar month's written notice via email. No exit fee is payable.
The fee is AUD $5,000 per calendar month (plus GST). CoSai will invoice the Client on the first business day of each month, payable within seven (7) days of invoice. Pass-through costs (cloud infrastructure, third-party services, pre-approved travel) are invoiced monthly at cost with no margin.
Invoices outstanding more than fourteen (14) days past their due date may result in a temporary pause of services until payment is received. Repeated late payment is grounds for CoSai to terminate the engagement with seven (7) days' written notice.
All deliverables — including source code, documents, designs, models, and Architectural Decision Records — produced specifically for the Client under this engagement become the property of the Client upon full payment of the relevant month's invoice. CoSai retains the right to use general methods, frameworks, and skills developed during the engagement on future engagements, provided no Client-confidential material is disclosed.
Each party will treat as confidential all information disclosed by the other and clearly marked or reasonably understood as confidential. This obligation survives termination of the engagement for three (3) years. Standard exceptions apply (public domain, legally required disclosure, prior knowledge).
The Client acknowledges and consents to CoSai's use of AI agents (Anthropic Claude family) in producing engagement deliverables, as described in Section 9. Carla Oliver remains the single accountable principal for every deliverable. No Client personally identifiable information (PII) of members or leads will be processed by AI agents outside agreed and documented data-handling boundaries.
Carla Oliver will discharge her professional duties consistent with the codes of conduct of CPA Australia and CIMA. CoSai is engaged as an independent contractor; nothing in this engagement creates a partnership, joint venture, or employment relationship.
CoSai's total aggregate liability arising out of or in connection with this engagement, whether in contract, tort, or otherwise, is limited to the fees actually paid by the Client to CoSai in the twelve (12) months immediately preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, or special losses.
CoSai holds and will maintain professional indemnity insurance and public liability insurance appropriate to the engagement. Certificates of currency available on request.
Both parties will handle personal information in accordance with the Australian Privacy Act 1988 and the Australian Privacy Principles. CoSai will not disclose personal information to third parties except as required to deliver the services or as required by law.
The parties will attempt to resolve any dispute in good faith via direct discussion. If unresolved within thirty (30) days, the parties will refer the dispute to mediation administered by the Resolution Institute, before resorting to litigation.
This engagement is governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales.
This proposal, once executed via Section 13 (Acceptance & Signing Page), constitutes the entire agreement between the parties and supersedes any prior representations.
Any variation to scope, fees, or terms must be agreed in writing between Carla Oliver and Mathew Punter.
By signing below, the parties accept the terms of this Proposal of Engagement (Reference: CSA-2026-FLIP360-001) including the Scope of Services (Section 4), Pricing (Section 11), and Terms & Conditions (Section 12).
